These Terms of Service govern your access to and use of the services operated by Upskillist AI Limited, trading as Ambition AI, including our websites (ambition.world and kairo.ai), Kairo (our AI-powered mentor and progress platform), our web app, mobile app, AI-powered features, content, subscriptions, trials, communications and related services.
Please read these Terms carefully before using any of our services.
1. Introduction and Acceptance of Terms
These Terms of Service, together with any policies or terms referenced in them, form a legal agreement between you and Upskillist AI Limited, trading as Ambition AI.
By accessing or using ambition.world or kairo.ai, creating an account, starting a trial, purchasing a subscription, accessing Kairo, using any Kairo feature, or otherwise using our Services, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not access or use our Services.
These Terms are written in English. Where permitted by law, your electronic acceptance of these Terms has the same legal effect as if you had signed them in writing.
In these Terms:
- "Ambition" means the public brand under which we operate Kairo and future products.
- "Kairo" means our AI-powered mentor and progress platform, including the website, web app, mobile app, content, features, communications and related services.
- "Services" means, together, ambition.world, kairo.ai, Kairo, our apps, AI features, content, communications and any other services we provide that link to these Terms.
- "we", "us" or "our" means Upskillist AI Limited, trading as Ambition AI, unless stated otherwise.
- "you" or "your" means the person accessing or using our Services.
- "Subscription" means any paid access plan, trial plan, promotional plan, partner plan, app store subscription or other paid arrangement through which you access Kairo.

Our Services are operated by Upskillist AI Limited, trading as Ambition AI.
Ambition is the brand under which we operate Kairo and future products. Kairo is the first product made available under the Ambition brand.

Our Services include the following.
3.1 Our Websites
ambition.world is our company website. kairo.ai is our product website.
Our websites may include:
- information about Ambition and Kairo;
- company updates and founder notes;
- articles, insights, essays and thought leadership;
- product announcements;
- waitlist forms, newsletter forms and contact forms;
- campaign pages;
- investor or media information;
- links to Kairo, third-party content or external platforms.
Our websites are provided for general informational, marketing, brand and communication purposes.
3.2 Kairo
Kairo is an AI-powered mentor and progress platform designed to help people define goals, build a path forward, access relevant learning content, receive guidance, track milestones and maintain momentum.
Kairo may include, depending on your location, account type, subscription status and the features available at the time:
- AI-powered chat, guidance, prompts and recommendations;
- personalised onboarding;
- goal-setting and milestone support;
- personalised plans, summaries, reflections and progress prompts;
- video, audio, text and other learning content;
- guides, breakdowns, how-tos and practical learning materials;
- Upshots (our short-form vertical video content);
- personalised content feeds;
- progress tracking and profile features;
- reminders, notifications and communications;
- free, preview, shared or limited-access content;
- paid subscriptions, trials, promotions or partner offers;
- mobile app, web app and website features.
Kairo is designed to support learning, planning, personal development, professional development, business development, creative development and other progress-related goals. However, Kairo is not a human advisor and does not replace professional advice.
Our Services may change over time. We may add, remove, rename, modify or limit features, content, plans, access levels, tools or availability as our products evolve.
4. Eligibility
Kairo is intended for users aged 18 or over.
By creating an account, starting a trial, purchasing a subscription or using Kairo, you confirm that:
- you are at least 18 years old;
- you have the legal capacity to enter into these Terms;
- the information you provide to us is accurate and complete;
- you will use our Services only in accordance with these Terms and applicable laws.
If you are using Kairo on behalf of a company, organisation or other entity, you confirm that you have authority to accept these Terms on behalf of that entity. In that case, references to "you" and "your" may include both you and that entity.
We may refuse, suspend or terminate access to our Services if we believe that you do not meet these eligibility requirements, have provided inaccurate information, or are using our Services in breach of these Terms.
5. Your Account
To access certain parts of Kairo, you may need to create an account.
When you create an account, you agree to provide accurate, current and complete information and to keep that information updated. You are responsible for all activity that occurs under your account.
You must keep your login details secure and confidential. You must not share your account access with anyone else, sell access to your account, allow another person to use your account, or use another person's account without permission.
You should notify us immediately at support@ambition.world if you believe your account has been accessed without permission or if your login details have been compromised.
We may suspend, restrict or terminate your account if we reasonably believe that:
- your account has been used in breach of these Terms;
- your account has been accessed or used fraudulently;
- you have provided inaccurate, false or misleading information;
- your use of our Services creates a security, legal, operational or reputational risk;
- payment is overdue, disputed, reversed or has failed;
- we are required to do so by law, a payment provider, an app store, a platform provider or a regulator.
You are responsible for ensuring that your device, internet connection, software and browser are compatible with our Services. We are not responsible for charges from your internet provider, mobile network, device provider or other third parties that may apply when you access our Services.
6. Personalisation and Use of Your Information
Kairo is a personalised service. To provide the core features of Kairo, we need to process information about you, your account and your use of the service.
This may include information you provide directly, information generated through your use of Kairo, and information inferred from your interactions with the service, such as:
- your name, email address and account information;
- your goals, interests, preferences and selected areas of focus;
- your milestones, tasks, plans, progress and activity;
- your interactions with Kairo, including messages, prompts, responses and feedback;
- your use of video, audio, text, guides, breakdowns, how-tos, Upshots and other content;
- your engagement with reminders, notifications, emails, prompts and product features;
- your subscription, trial, billing status and account access level;
- technical information such as device, browser, app, usage and log data.
Kairo uses this information to provide personalised guidance, recommendations, prompts, summaries, reflections, content suggestions, reminders, progress support and related product features.
Without this information, Kairo cannot provide its core personalised service. If you do not want us to process the information needed to personalise and operate Kairo, you should not use Kairo.

7. AI-Powered Features and AI Transparency
Kairo uses artificial intelligence to generate responses, recommendations, summaries, plans, prompts, learning suggestions, reflections, reminders and other outputs.
When you interact with Kairo, you are interacting with an automated AI-powered system, not a human advisor.
AI-generated outputs may be incomplete, inaccurate, outdated, misunderstood, unsuitable for your circumstances, or based on information that you provided incorrectly or incompletely. Kairo may also produce different responses to similar inputs.
You are responsible for reviewing and evaluating any output before relying on it. You should use your own judgment and seek qualified professional advice where appropriate.
Kairo may use third-party AI, infrastructure, analytics, communication, payment and technology providers to operate, secure, personalise and improve the service. More information about how your data is processed is available in our Privacy Policy.
We may monitor, test, review, analyse, restrict, improve or modify AI-powered features to improve safety, quality, reliability, personalisation, compliance and user experience.
You must not use Kairo or its AI-powered features to:
- generate or assist unlawful, harmful, abusive, deceptive or infringing activity;
- make or automate high-risk decisions that may have legal, financial, health, employment, housing, credit, insurance or similar significant effects on a person;
- impersonate another person or misrepresent generated content as human-created where that would be misleading;
- attempt to extract system prompts, hidden instructions, security rules, model behaviour, private data or confidential information;
- bypass usage limits, safety controls, payment controls or technical restrictions;
- use outputs in a way that violates these Terms, applicable law or third-party rights.
8. No Professional Advice
Our Services are provided for general learning, planning, guidance, productivity, personal development and progress-support purposes.
Our Services do not provide legal, financial, tax, medical, psychological, therapeutic, investment, employment, immigration, safety-critical or other professional advice.
Any information, recommendation, plan, prompt, summary, output, article, founder note or other content provided through our Services is for general informational and educational purposes only. It should not be treated as professional advice or relied on as the sole basis for important decisions.
You are responsible for your own decisions, actions and outcomes. Before making important personal, professional, financial, business, legal, medical or other high-impact decisions, you should seek advice from an appropriately qualified professional.
Our Services are not designed for emergencies. If you believe you or someone else may be in immediate danger, you should contact local emergency services or an appropriate crisis support service.
9. No Guaranteed Outcomes
Our Services are designed to support progress, learning, planning, reflection, motivation and personalisation. However, your outcomes depend on many factors outside our control, including your own actions, circumstances, effort, decisions, environment, opportunities, skills, resources and external events.
We do not guarantee that using our Services will result in any specific outcome, including:
- starting, growing or improving a business;
- increasing income, revenue, profit or sales;
- getting a job, promotion, interview, client, customer or contract;
- improving professional performance or career prospects;
- mastering a skill or achieving a specific level of knowledge;
- completing any goal, milestone, plan or habit;
- improving confidence, productivity, wellbeing or personal performance;
- achieving any financial, business, educational, creative, personal or professional result.
We also do not guarantee that any product, feature, roadmap item, launch timeline or future plan described on our websites will become available, occur as described or remain unchanged.
Any examples, case studies, testimonials, marketing claims, product demonstrations, founder notes, sample outputs or illustrative materials are illustrative only and do not guarantee that you will achieve the same or similar results.
10. Subscriptions, Trials and Paid Access
Kairo may offer free access, limited access, preview access, trials, paid subscriptions, promotional plans, partner offers, app store subscriptions or other access options.
The features, content, access level, trial period, price, billing frequency, renewal date, currency, tax treatment and cancellation terms that apply to your subscription will be shown to you at sign-up, checkout, in your account, through Paddle, through an app store, or through the relevant payment or subscription platform.
Trial periods may vary by offer, country, platform, promotion, partner, currency or billing provider. If you start a trial, your payment method may be charged automatically at the end of the trial unless you cancel before the trial ends.
Unless otherwise stated at sign-up, subscriptions automatically renew at the end of each billing period until cancelled. By starting a trial, purchasing a subscription or continuing a subscription, you authorise us, Paddle, the relevant app store, payment provider or billing platform to charge the applicable fees, taxes and charges to your selected payment method.
Prices may vary by country, currency, platform, offer, promotion, partner, subscription type or billing provider. Taxes may be added where applicable.
We may change our subscription plans, features, prices, offers or access levels from time to time. Where required by law, we will give you notice of material changes that affect an existing paid subscription.
Some Kairo features may be available only to paid subscribers or users who have started a trial. This may include AI-powered Kairo features, personalised guidance, recommendations, prompts, summaries, progress support or other premium features.
Free accounts may allow access to selected content, preview features, shared content, public content or limited product functionality. Free access does not guarantee access to all Kairo features and may be changed, limited or withdrawn at any time.
11. Paddle and Payment Processing
Payments for Kairo may be processed by Paddle, our merchant of record, or by another payment provider, app store or billing platform depending on how you subscribe.
Where Paddle processes your payment, Paddle may act as the seller and merchant of record for the transaction. Paddle may appear on your bank, card or payment statement. Paddle's buyer terms, payment terms, tax handling, refund processes and checkout terms may apply to the payment transaction.
These Terms govern your access to and use of our Services. Paddle's terms, or the terms of another payment provider or app store, may separately govern the payment transaction.
By purchasing through Paddle, an app store or another payment provider, you agree to provide accurate billing information and authorise the relevant provider to charge your payment method for the applicable subscription fees, taxes and charges.
If your payment fails, is declined, is reversed, is disputed, is charged back, or cannot be processed, we may suspend, restrict or terminate your access to paid features. We may also attempt to process payment again, ask you to update your payment method, or take other steps permitted by law and by the relevant payment provider.
We do not store your full card details where payment is processed by Paddle, an app store or another payment provider. Payment information is handled by the relevant payment provider in accordance with its own terms and privacy practices.
12. Cancellation
You are responsible for cancelling your subscription before your trial ends or before your next renewal date if you do not want to be charged.
Kairo subscriptions must be cancelled using the self-service cancellation method available for your subscription. Depending on how you subscribed, this may include:
- your Kairo account;
- the Kairo billing area;
- Paddle checkout or Paddle customer portal;
- Apple App Store subscription settings;
- Google Play subscription settings;
- another app store, payment provider or billing portal shown to you at sign-up or in your account.
If you contact support about cancellation, we may direct you to the relevant self-service cancellation method. Support does not replace your responsibility to complete cancellation before your trial ends or before your next renewal date.
Unless otherwise required by law, cancellation takes effect at the end of your current paid billing period. You will normally continue to have access to paid features until the end of the billing period you have already paid for.
Cancelling your subscription does not automatically delete your account. You may continue to have access to any free account features that are available at the time, unless your account is deleted, suspended or terminated.
If you subscribed through an app store or third-party platform, you may need to cancel directly through that platform. We may not be able to cancel, refund or manage subscriptions purchased through third-party platforms except as permitted by that platform.
13. Refunds and Statutory Rights
Except where required by applicable law, subscription fees are non-refundable.
We do not provide refunds, credits or partial refunds for:
- unused access;
- lack of use;
- partial billing periods;
- forgetting to cancel before a trial ends;
- forgetting to cancel before a renewal date;
- loss of access caused by breach of these Terms;
- changes in your personal circumstances;
- dissatisfaction with AI-generated outputs;
- content or features that change, evolve or are removed;
- choosing not to use Kairo after payment has been made.
If you start a trial and do not cancel before the trial ends, your payment method may be charged automatically. Except where required by law, that charge is non-refundable.
If you purchase a monthly, annual, promotional, partner or other subscription, the cancellation will stop future renewals but will not normally result in a refund for the current billing period.
Refund requests may be handled by Paddle, an app store or another payment provider depending on how you subscribed. Where Paddle, an app store or another payment provider processes the transaction, its refund process and buyer terms may also apply.
Nothing in these Terms limits any mandatory consumer rights that apply to you under applicable law. If you have a legal right to a refund, cancellation, withdrawal or remedy that cannot be excluded, these Terms do not limit that right.
We may refuse a refund request where we reasonably believe there has been fraud, abuse, misuse, repeated refund behaviour, breach of these Terms, chargeback abuse or other activity inconsistent with fair use of the service.
If you are a consumer in the European Union, United Kingdom or another country with mandatory withdrawal or cooling-off rights, you may have a legal right to cancel within a certain period after purchase. Where you request immediate access to digital content or digital services during that period, you may be required to pay for the services provided before cancellation, or your withdrawal rights may be affected where permitted by law. Nothing in these Terms limits your mandatory statutory rights.
14. Promotions, Discounts, Partner Offers and Credits
We may offer promotional plans, partner offers, affiliate offers, voucher codes, discounts, free trials, extended trials, limited-time offers, regional offers or other special access arrangements from time to time.
These offers may have separate eligibility rules, prices, durations, renewal terms, access limits, feature limits, geographical restrictions, partner requirements, expiry dates or other conditions. Any additional terms shown at sign-up, checkout or in the offer will apply.
Promotional pricing may apply only for a limited time. Unless otherwise stated, your subscription may renew at the standard price shown to you at sign-up or before renewal.
We may change, withdraw, suspend, refuse or end any promotion, discount, partner offer, voucher, code or special access arrangement at any time where permitted by law.
Promotions, discounts, codes and partner offers:
- have no cash value unless expressly stated;
- may not be transferred, sold, exchanged or redeemed for cash;
- may not be combined with other offers unless expressly stated;
- may be limited to new users, selected users, selected countries, selected platforms or selected partners;
- may be withdrawn or refused if we reasonably believe there has been fraud, misuse, abuse or breach of these Terms.
We do not guarantee that any promotional price, partner offer, feature, access level or discount will remain available after cancellation, expiry, reactivation or plan change.
15. Waitlists, Forms and Website Submissions
Our websites may allow you to join a waitlist, submit a form, sign up for updates, request information, contact us, register interest in Kairo or receive marketing communications.
When you submit information through a form, you agree to provide accurate and lawful information.
We may use the information you submit to:
- respond to your request;
- manage waitlists;
- send product or launch updates;
- send newsletters or founder updates;
- provide information about Ambition or Kairo;
- manage campaigns, offers or partner campaigns;
- improve our website and communications;
- comply with legal obligations.

You can opt out of marketing emails using the unsubscribe link in the email or by following the instructions provided.
16. Acceptable Use
You must use our Services responsibly, lawfully and in accordance with these Terms.
You must not use our Services, or allow anyone else to use our Services, to:
- break any applicable law, regulation or third-party right;
- commit, assist, promote or plan unlawful, harmful, fraudulent or deceptive activity;
- harass, threaten, abuse, exploit, defame, intimidate or harm another person;
- generate, distribute or request hateful, abusive, violent, sexually exploitative or otherwise harmful content;
- exploit, harm or endanger children or minors in any way;
- encourage self-harm, suicide, eating disorders, violence or dangerous behaviour;
- create, distribute or assist scams, phishing, spam, malware, social engineering, impersonation or fraudulent schemes;
- impersonate another person or organisation;
- submit false, misleading, abusive, unlawful, harmful or fraudulent information;
- infringe or misappropriate intellectual property, privacy, publicity, confidentiality or other rights;
- upload, transmit or distribute viruses, malware, harmful code or security exploits;
- scrape, crawl, copy, extract, harvest or collect data from our Services without our permission;
- reverse engineer, decompile, modify, bypass, interfere with or attempt to access the source code, systems, security controls, prompts, hidden instructions, infrastructure or non-public areas of our Services;
- bypass payment controls, access controls, usage limits, safety systems, authentication systems or technical restrictions;
- sell, rent, share, sublicense, transfer or commercially exploit your account or access to Kairo;
- use our Services to build, train, benchmark or improve a competing product or service without our written permission;
- use automated tools, bots, scripts or bulk access methods unless expressly authorised by us;
- submit information you do not have the right to submit;
- submit sensitive personal information unless a feature specifically asks for it and you are comfortable doing so;
- use our Services in a way that could damage, disable, overload, impair or disrupt them;
- use our Services in a way that creates legal, regulatory, security, reputational or operational risk for us.
We may investigate suspected misuse and may suspend, restrict or terminate access where we reasonably believe these Terms have been breached.
17. User Inputs, Content and Feedback
You may provide information, messages, prompts, goals, preferences, milestones, plans, files, comments, feedback, responses or other content when using our Services. We refer to this as User Content.
You are responsible for your User Content. You confirm that you have all rights, permissions and authority needed to provide your User Content to us and to allow us to process it in accordance with these Terms and our Privacy Policy.
You retain any rights you have in your User Content. However, by submitting User Content to our Services, you grant us a worldwide, non-exclusive, royalty-free licence to use, host, store, copy, process, transmit, display, adapt and create outputs from that User Content for the purposes of:
- providing our Services to you;
- personalising your experience;
- generating responses, plans, recommendations, summaries, prompts and other outputs;
- maintaining, securing and improving our Services;
- providing customer support;
- analysing service performance and product usage;
- complying with legal, safety and operational obligations.
You must not submit User Content that is unlawful, harmful, infringing, confidential to another person or organisation, or that you do not have the right to provide.
If you provide feedback, ideas, suggestions, comments or recommendations about our Services, you agree that we may use them without restriction, payment or obligation to you. This includes using feedback to improve, modify, market or develop Kairo, Ambition or related products and services.
We may remove, restrict or refuse to process User Content where we reasonably believe it breaches these Terms, creates risk, or may be unlawful or harmful.
18. Use of User Content to Improve Kairo and Develop New Content
Kairo learns from how people use the platform to make the service better for everyone. By using Kairo, you understand and agree that we may use your User Content, including your goals, preferences, prompts, interactions, progress and Ambition Graph data, to:
- train, develop and improve Kairo's algorithms, models and recommendation systems;
- identify patterns in user needs and skill gaps to develop new learning content, courses, guides and Upshots, including AI-generated content that may be served to other users;
- improve personalisation, content quality and product performance across the Kairo user base.
Where we use User Content for these purposes, we use aggregated, de-identified or pseudonymised data wherever possible.
We do not sell your User Content. We do not provide your private Kairo conversations or personal goal data to third-party AI providers to train their own general-purpose AI models. We do not use sensitive personal data for training or content generation purposes.
Where you have rights under data protection law to object to or limit this processing, those rights are explained in our Privacy Policy. You can also contact us at privacy@ambition.world with questions about how your User Content is used.
19. Sensitive Information Warning
Kairo is not designed to collect or process sensitive personal information unless a specific feature clearly asks for it and explains why it is needed.
You should not submit sensitive information to Kairo unless you are comfortable doing so and it is necessary for your use of the service.
This includes, for example:
- medical records, health diagnoses or emergency health information;
- therapy notes or detailed mental health information;
- government identification numbers;
- passport, driving licence or national identity numbers;
- bank account details, full card numbers or passwords;
- biometric data;
- precise location data that is not needed for the service;
- information about children or minors;
- confidential information belonging to your employer, clients or another third party;
- legally privileged or highly confidential information.
Kairo is not a medical, therapeutic, financial, legal, tax, investment, employment, immigration or emergency support service. You should not rely on Kairo for situations that require qualified professional help or urgent support.
If you submit sensitive information, you do so at your own risk, and we may process it as necessary to provide, secure and operate Kairo, subject to our Privacy Policy and applicable law.
20. Communications and Notifications
By creating an account, joining a waitlist, starting a trial, subscribing to Kairo or using our Services, you agree that we may contact you about your account and your use of our Services.
These communications may include:
- account confirmations;
- trial and subscription information;
- billing, renewal, failed payment and cancellation information;
- service updates;
- security notices;
- product changes;
- onboarding messages;
- progress reminders;
- milestone prompts;
- content recommendations;
- support replies;
- legal, privacy or policy updates.
Some communications are transactional or service-related and may be necessary to provide our Services. You may not be able to opt out of these while you have an active account, trial or subscription.
We may also send marketing communications where permitted by law. You can opt out of marketing emails by using the unsubscribe link in the email or by following the instructions we provide. Opting out of marketing communications does not stop transactional, account, billing, security or service-related messages.
If we offer push notifications, SMS, WhatsApp, in-app messages or other communication channels, we may ask for your permission where required. You can manage certain communication preferences through your device settings, account settings, unsubscribe links or other preference tools we make available.
Message and data rates may apply if you receive SMS, push or mobile communications. Your mobile network or device provider may charge you for those communications.
21. Content, Upshots, Learning Materials and Third-Party Content
Our Services may provide access to video, audio, text, guides, breakdowns, how-tos, Upshots, summaries, recommendations, prompts, reflections, articles, founder notes, links, feeds and other learning or progress-related content.
This content is provided for general informational, educational and progress-support purposes only. It is not professional advice and should not be treated as a guarantee of accuracy, completeness, suitability or outcome.
Content may be created by us, licensed from third parties, generated or assisted by AI, adapted from existing materials, or recommended from external sources.
We may change, update, add, remove, restrict, rename, reorganise or discontinue content at any time. Access to a specific item of content is not guaranteed for any particular period unless we expressly state otherwise.
Our Services may also recommend, link to, display or reference third-party websites, platforms, videos, podcasts, articles, tools, services or content. We do not control third-party content or third-party services and are not responsible for their accuracy, availability, practices, policies, security or content.
Your use of third-party websites, platforms, content or services may be subject to their own terms and privacy policies. You are responsible for reviewing those terms before using them.
A link to a third-party website or service does not mean we endorse that third party unless we clearly state otherwise.
Our Services may provide limited public, free, preview or shared access to selected content or features. The availability, number of views, access limits, sharing options and features of free or public access may change at any time.
22. Intellectual Property
Our Services, including Kairo, Ambition, and all related products, services, software, systems, technology, interfaces, designs, branding, logos, names, content, articles, founder notes, workflows, prompts, outputs, recommendations, product features and materials, are owned by us or licensed to us.
Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use our Services for your own personal, non-commercial use, or for internal business use where your subscription or access type allows it.
You must not, without our prior written permission:
- copy, reproduce, distribute, sell, rent, lease, sublicense or commercially exploit our Services or any part of them;
- modify, adapt, translate, reverse engineer, decompile or attempt to derive source code or underlying systems from our Services;
- remove, obscure or alter any copyright, trademark or proprietary notices;
- use the names, logos, marks or branding of Kairo, Ambition or Upskillist AI Limited in a way that suggests endorsement, partnership or affiliation without permission;
- scrape, extract, download or reuse our content or data at scale;
- use our content, outputs, prompts, systems or features to build, train, benchmark or improve a competing product or service;
- resell or provide access to our Services as part of another product or service without our written agreement.
Nothing in these Terms transfers ownership of our Services, Kairo, Ambition, our technology, our content, our branding or our intellectual property to you.
Where Kairo allows you to download, export, save or share certain outputs, plans, summaries, social cards, prompts or content, you may use them for your own personal or internal purposes, provided you do not breach these Terms, infringe third-party rights, misrepresent the output, or use them unlawfully.
23. Public Sharing, Social Cards and Shared Content
Kairo may allow you to share certain content, outputs, links, previews, social cards, milestones, progress summaries, recommendations or other materials outside the platform.
You are responsible for anything you choose to share publicly or with third parties.
You must not share content in a way that:
- misrepresents Kairo, Ambition or our services;
- suggests that we endorse you, your business, your claims or your content unless we have agreed in writing;
- discloses private, sensitive, confidential or third-party information without permission;
- infringes another person's rights;
- is unlawful, harmful, misleading, abusive or deceptive;
- removes or alters any attribution, watermark, link, copyright notice or branding where we require it to remain.
We may change, restrict, remove or disable sharing features at any time.
If you submit a public review, testimonial, comment, public post, social media tag or other public-facing statement about our Services, you agree that we may use, quote, repost, display or reference it for marketing, research, product improvement or promotional purposes, unless prohibited by law or unless you tell us not to. We will not publish private survey responses, private feedback, private case study material, private account information, private Kairo conversations or non-public personal data as a testimonial without your permission.
24. Service Availability, Changes and Beta Features
Our Services are evolving products. We may update, improve, test, modify, limit, rename, remove or discontinue any part of our Services at any time.
This may include changes to:
- AI-powered features;
- free and paid access levels;
- content, guides, breakdowns, videos, audio, text, Upshots or feeds;
- onboarding, personalisation or profile features;
- subscription plans or pricing;
- user interface, design and navigation;
- mobile app, web app or website features;
- communications, notifications and reminders;
- website content, articles, founder notes, forms, waitlists, landing pages, links, branding;
- third-party integrations or providers;
- trial, preview or beta features.
We aim to provide a reliable service, but we do not guarantee that our Services will always be available, uninterrupted, secure, error-free or compatible with every device, browser, app version or operating system.
Our Services may be unavailable or limited because of maintenance, updates, outages, security issues, technical failures, payment issues, third-party provider failures, app store issues, internet disruption, legal requirements, force majeure events or other reasons outside our control.
Some features may be described as beta, preview, early access, experimental or test features. These features may be incomplete, unstable, limited, inaccurate, unavailable, changed or discontinued at any time. Access to a beta or preview feature does not guarantee continued access to that feature or to any future version of it.
25. Suspension and Termination
We may suspend, restrict, limit or terminate your access to our Services, your account, your subscription or any feature if we reasonably believe that:
- you have breached these Terms;
- you have misused our Services or any AI-powered feature;
- your payment has failed, been reversed, disputed, charged back or is overdue;
- your account has been accessed fraudulently or without permission;
- you have provided inaccurate, false or misleading information;
- your use creates a legal, regulatory, security, operational or reputational risk;
- we are required to do so by law, a regulator, court, payment provider, app store or platform provider;
- continuing to provide access may harm us, other users, third parties or our Services.
You may stop using our Services at any time. If you have a paid subscription, you must cancel it using the applicable self-service cancellation method if you do not want future charges.
Termination or suspension of your account does not automatically entitle you to a refund. Refunds are handled in accordance with Section 13 and applicable law.
After termination, we may retain certain information where necessary for legal, tax, accounting, security, fraud prevention, dispute resolution, product integrity, legitimate business or compliance purposes, as explained in our Privacy Policy.
The following sections will continue to apply after your access ends: payment obligations, intellectual property, user content licence, disclaimers, limitation of liability, indemnity, consumer rights, governing law, dispute terms and any other provisions that by their nature should survive termination.
26. Disclaimers
Our Services are provided on an "as is" and "as available" basis.
To the fullest extent permitted by law, we disclaim all warranties, representations, conditions and guarantees, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, satisfactory quality, accuracy, availability, non-infringement, compatibility or reliability.
We do not guarantee that:
- our Services will meet your expectations or requirements;
- our Services will be uninterrupted, secure, accurate, complete, current, reliable or error-free;
- AI-generated outputs will be correct, suitable, safe or useful for your circumstances;
- any content, recommendation, guide, plan, prompt, summary, article, founder note or reminder will produce a desired result or will always be accurate, complete, current or suitable;
- any specific content, feature, access level, AI capability, subscription plan or integration will remain available;
- defects, errors or inaccuracies will always be corrected;
- our Services will be free from viruses, harmful components or security vulnerabilities;
- any product, feature, launch, roadmap item or statement about the future will occur or be accurate.
You use our Services at your own risk and are responsible for evaluating any content, guidance, output, recommendation or information before relying on it.
27. Limitation of Liability
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot lawfully be excluded.
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profit, revenue, business, opportunity, goodwill, reputation, data, anticipated savings or business interruption, whether arising in contract, tort, negligence, statutory duty or otherwise.
To the fullest extent permitted by law, we are not liable for losses arising from:
- your reliance on AI-generated outputs or website content;
- inaccurate, incomplete, outdated or unsuitable content, recommendations, plans, prompts, summaries, guidance, articles or founder notes;
- decisions, actions or omissions you make based on our Services;
- failure to achieve any personal, professional, business, financial, educational, creative or other outcome;
- interruption, suspension, downtime, delay or unavailability of our Services;
- loss of access caused by failed payment, cancellation, suspension or termination;
- unauthorised access to your account caused by your failure to keep login details secure;
- third-party websites, platforms, app stores, payment providers, content, tools or services;
- events outside our reasonable control.
To the fullest extent permitted by law, our total aggregate liability to you for all claims arising out of or relating to our Services or these Terms will not exceed the amount you paid to us for Kairo in the twelve months before the event giving rise to the claim.
If you use our Services without paying for a subscription, our total aggregate liability to you will not exceed €100 or the maximum amount permitted by applicable law, whichever is lower.
28. Indemnity
To the fullest extent permitted by law, you agree to indemnify, defend and hold harmless Upskillist AI Limited, Ambition, Kairo, our directors, officers, employees, contractors, affiliates, service providers and partners from and against any claims, losses, liabilities, damages, costs and expenses, including reasonable legal fees, arising out of or relating to:
- your breach of these Terms;
- your misuse of our Services;
- your User Content;
- information you submit through our websites or forms;
- your violation of applicable law or third-party rights;
- your infringement or misappropriation of intellectual property, privacy, confidentiality or other rights;
- your fraudulent, abusive, harmful or unlawful activity;
- your use of Kairo outputs in breach of these Terms;
- your use of our Services for business, professional, financial, legal, medical, employment or other decisions without appropriate independent review.
We reserve the right to control the defence and settlement of any claim requiring indemnification. You agree to cooperate with us in defending any such claim.
29. Consumer Rights
Nothing in these Terms affects any mandatory consumer rights that apply to you under the laws of your country or region.
Some jurisdictions provide legal rights relating to digital services, subscriptions, cancellation, refunds, defective services, unfair contract terms or consumer remedies. If those rights apply to you and cannot lawfully be excluded or limited, these Terms do not exclude or limit them.
If any part of these Terms conflicts with a mandatory consumer protection law that applies to you, that law will apply to the extent of the conflict.
Your rights may depend on where you live, how you purchased Kairo, whether you purchased as a consumer or business user, and whether you purchased through Paddle, an app store, a partner or another payment provider.
30. Governing Law and Disputes
These Terms are governed by the laws of Ireland.
Subject to any mandatory consumer rights that apply in your country or region, the courts of Ireland will have jurisdiction over disputes arising out of or relating to these Terms or our Services.
Before bringing a formal claim, you agree to contact us at support@ambition.world and give us a reasonable opportunity to resolve the issue informally.
If you are a consumer resident in the European Union, you may also have rights under applicable consumer dispute resolution rules in your country of residence.
31. Changes to These Terms
We may update these Terms from time to time.
We may make changes for reasons including:
- changes to Ambition, Kairo or our business;
- changes to features, subscriptions, pricing, trials or payment providers;
- changes to AI-powered features or technology providers;
- changes to our websites, content, forms, communications or website features;
- changes to legal, regulatory, tax, security or operational requirements;
- improvements to clarity, structure or user experience;
- new products, services, promotions or partner arrangements.
If we make material changes to these Terms, we will take reasonable steps to notify you, such as by email, in-app notice, website notice or another appropriate method.
The updated Terms will apply from the date stated in the updated version. If you continue to access or use our Services after the updated Terms take effect, you will be treated as having accepted the updated Terms.
If you do not agree to the updated Terms, you must stop using our Services and, if you have a paid subscription, cancel it before your next renewal date.
32. General Terms
These Terms, together with the Privacy Policy, Cookie Policy and any additional terms shown to you at sign-up, checkout, in-app, through Paddle, through an app store, or through a partner offer, form the agreement between you and us regarding your use of our Services.
If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions will continue in full force and effect.
If we do not enforce a provision of these Terms immediately, this does not mean we have waived our right to enforce it later.
You may not assign, transfer or delegate your rights or obligations under these Terms without our prior written consent. We may assign, transfer or delegate our rights and obligations under these Terms as part of a merger, acquisition, reorganisation, sale of assets, change of control, corporate restructuring, financing, recapitalisation or transfer of business.
We will not be responsible for any failure or delay in performing our obligations where that failure or delay is caused by events beyond our reasonable control, including technical failures, internet outages, labour disputes, natural disasters, war, terrorism, civil unrest, regulatory action, payment provider issues, app store issues, cloud provider outages, cyber incidents, power failures or other force majeure events.
Headings in these Terms are for convenience only and do not affect interpretation.
Any words following "including", "include", "for example" or similar expressions are illustrative and do not limit the meaning of the words before them.
